Specific service deliverables, timelines, and fees are defined in individual project agreements or statements of work executed between Tinaht and the client.
3. Client Responsibilities
When engaging our services, you agree to:
- Provide accurate and complete information necessary for service delivery
- Grant reasonable access to systems, accounts, and resources as needed
- Respond to communications and approval requests in a timely manner
- Ensure you have the legal authority to grant access to systems and data
- Maintain backups of your data prior to any service engagement
4. Intellectual Property
Our Property
The Tinaht website, brand, logo, and all original content (text, graphics, code, and design) are owned by Tinaht and protected by applicable intellectual property laws. You may not copy, modify, distribute, or reproduce our content without prior written consent.
Client Deliverables
Upon full payment of all project fees, clients receive ownership of custom deliverables created specifically for their project, unless otherwise specified in the project agreement. Tinaht retains the right to use general methodologies, tools, and non-proprietary code developed during the engagement.
Portfolio Rights
Tinaht reserves the right to showcase completed projects in our portfolio and marketing materials unless a non-disclosure agreement (NDA) is in effect.
5. Payment Terms
- Payment terms are specified in individual project agreements
- A deposit may be required before work commences
- Invoices are due upon receipt unless otherwise agreed in writing
- Late payments may incur interest at a rate of 1.5% per month
- Tinaht reserves the right to pause or suspend services for overdue accounts
6. Project Changes and Scope
Changes to project scope, features, or deliverables after a project agreement has been signed may require a change order. Change orders may result in additional fees and adjusted timelines. Both parties must agree to any scope changes in writing before additional work begins.
7. Warranties and Disclaimers
Tinaht will perform services with reasonable skill and care consistent with industry standards. However:
- Our website and services are provided "as is" and "as available"
- We do not guarantee uninterrupted, error-free, or secure operation of any system
- We are not responsible for third-party service outages, API changes, or platform modifications beyond our control
- Results and performance improvements described in case studies are specific to those engagements and are not guaranteed for all clients
8. Limitation of Liability
To the maximum extent permitted by law, Tinaht's total liability for any claim arising from or related to our services shall not exceed the total fees paid by the client for the specific service giving rise to the claim. In no event shall Tinaht be liable for indirect, incidental, consequential, or punitive damages, including loss of profits, data, or business opportunities.
9. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. This includes business strategies, technical specifications, credentials, and any information designated as confidential. This obligation survives termination of the service agreement.
10. Termination
Either party may terminate a service engagement with 30 days' written notice, unless otherwise specified in the project agreement. Upon termination:
- The client is responsible for payment of all work completed up to the termination date
- Tinaht will deliver all completed work product to the client
- Confidentiality obligations remain in effect
11. Indemnification
You agree to indemnify and hold harmless Tinaht, its officers, employees, and contractors from any claims, damages, or expenses arising from your breach of these terms, misuse of our services, or violation of any applicable law.
12. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the applicable jurisdiction. Any disputes arising from these terms shall be resolved through good-faith negotiation, and if necessary, through binding arbitration.
13. Changes to These Terms
Tinaht reserves the right to modify these Terms of Service at any time. Updated terms will be posted on this page with a revised "Last updated" date. Continued use of our website or services after changes are posted constitutes acceptance of the updated terms.
